Vendor Terms and Conditions

This Agreement is entered into between Shling.shop, a company organized and existing under the laws of New York State and Vendor/Seller for the purpose of selling their products to customers.

Vendor Eligibility

Vendors must be legally capable of entering into a contract and must provide accurate and complete information during registration.

Registration Process

Vendors must complete this registration form provided by the company accurately and honestly. Any false information may lead to disqualification or termination of registration.

Approval Process

Registration does not guarantee approval. The company reserves the right to approve or reject vendor applications at its discretion without providing any reasons.

Vendor Obligations

Approved vendors must comply with all applicable laws and regulations, as well as the terms and conditions outlined by the company. This includes providing high-quality products or services, adhering to agreed-upon pricing, and meeting delivery or service timelines.

Pricing, Fees and Taxes

- The Vendor shall set pricing for their products and services offered including shipping costs.

- The website will apply a commission of 25% to each sale.

- A service fee of 5% is applicable on each sale. Subject to Change.

- The seller acknowledges that sales will be subject to taxes based on the tax rates in the US and UK.

- The website will collect and remit the relevant taxes to the respective authorities.

Payment Terms

- The Vendor will receive payment for sold products within 5 days of the customer's receipt of the delivery.

- Payment will be transferred to the Vendor's designated bank account.

Delivery

- The Vendor agrees to deliver the products/services as specified in the purchase order or agreement between the Company and the Vendor.

- The Vendor shall ensure timely delivery of products/services according to the agreed-upon schedule.

- The Vendor is required to furnish tracking information for every shipment.

Confidentiality

Vendors may have access to confidential information during the course of their engagement with the company. They are required to maintain the confidentiality of such information and not disclose it to any third party without prior written consent from the company.

Intellectual Property

Vendors must ensure that they have the necessary rights or licenses to use any intellectual property (such as trademarks, copyrights, or patents) related to the products or services they provide. They shall not infringe upon the intellectual property rights of the company or any third party.

Indemnification

Vendors agree to indemnify and hold the company harmless from any claims, damages, losses, or liabilities arising out of their breach of these terms and conditions, negligence, or intentional misconduct.

Dispute Resolution

Any disagreements arising from this Agreement will be settled through good faith negotiations between the involved parties.

Termination

- Either party may terminate this Agreement with a written notice to the other party for any reason.

- In the event of termination, the Vendor shall fulfill any outstanding obligations and return any Company property in its possession.

- The company reserves the right to terminate the vendor's registration at any time without prior notice for any reason, including but not limited to non-compliance with these terms and conditions or unsatisfactory performance.

Term

This Agreement shall remain in effect until terminated by either party in accordance with its terms.

Amendments

The company may modify or amend these terms and conditions at any time by providing notice to vendors. Continued participation in the vendor program after such modifications shall constitute acceptance of the updated terms.

Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of New York State. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of New York State.
